WWHILE BOARD STRUCTURE IS IMPORTANT AND IS the best place to begin thinking about board design, in our judgment the caliber and abilities of the directors is an even more critical determinant of a board’s effectiveness. Good people—and people who are suited to the job at hand—will perform well even if the structure is less than ideal, but the opposite is certainly not true.
