Mutual Confidentiality and Nondisclosure Agreement

THIS AGREEMENT is made this _____ day of _______, 2010, by and between ______________ and _____________ (the "Company"), and _______________________________ (the "Consultant").

Recitals

WHEREAS, Company is developing certain business concepts, themes, or ideas (the "Project");

WHEREAS, Consultant desires to consult with Company in furtherance of the development and deployment of the Project; and

WHEREAS, in furtherance of the development of the Project, Company and Consultant may mutually provide to one another Confidential and Proprietary Information and both parties desire to protect such Confidential and Proprietary Information;

NOW THEREFORE, in consideration of the promises, mutual promises, and covenants hereinafter contained, the receipt and adequacy of which is hereby acknowledged, the parties hereto, intending to be legally bound hereby, agree as follows:

1. Purpose. This Agreement is made for Company and Consultant to freely share Confidential and Proprietary Information for the purpose of exploring opportunities to enter into a partnership, joint venture, alliance, independent contractor, or other relationship to develop and deploy in the marketplace the Project.
