Introduction

This chapter neither attempts to teach you the law nor to advise you on it. Instead, its aim is to give you a clear understanding of what you, as an angel investor, should expect and why, in each of the main legal documents of a typical deal, together with a commentary based on my own experiences. I have kept the emphasis on ordinary share investments as this the most common structure used in angel financed deals.

If you already have some understanding of company law but are not up to date, it helps to be aware of the main changes introduced by the Companies Act 2006 – some of which only became operative in late 2009.
