The articles of organization is your LLC’s most important document. Why? Because you can’t even be an LLC until you create and file your articles of organization with your secretary of state’s office. And because the filing of this document brings your LLC into existence, you need to initiate it before you can do much else, like assign ownership.
The articles of organization describes the basic structure and management of your LLC and shows your registered agent and where your company’s principal office is located. In Chapter 4, I went through how to make all of these preliminary decisions. So, you should now be ready to file!
Although most of the customization occurs in your company’s operating agreement, which I cover in detail in Part 3 of this book, some states require you to list some of these specifics in your company’s articles of organization. ...
