This is a form of exclusive patent licensing agreement.
Some potential variations in this form are indicated below in bracketed text, but there are many others. Patent license fees can be based on many different royalty arrangements. Sometimes a patent license agreement also includes a license to unpatented know-how or technology. Sometimes the inventor or patent owner agrees to provide consulting services. Some license agreements have grant-backs, under which the Licensor gets a license to the Licensee’s improvement patents.
