ONCE A BOARD HAS DECIDED WHAT ITS ROLE SHOULD be, the challenge becomes one of design. The structure of the board is a good place to begin. Given the job at hand, what structure will best allow the board members to perform to their maximum potential? What is the optimum board size? What is the best ratio of executive to independent directors? Should the chairman be the CEO, or should there be some other leadership arrangement? What committees should the board have?
