Performance of a Contract of Sale

CHAPTER OBJECTIVES

After carefully reading this chapter, you will be able:

  • Explain the duties of the buyer and the seller under a contract of sale.
  • Understand the term delivery and its types.
  • Describe the rules regarding delivery.
  • Enumerate the rights of the buyer under a contract of sale.

Just as any other contract, a contract of sale is to be performed according to the terms of the contract. Both the parties to it, the buyer and seller, must perform their respective obligations created under the contract. Sec. 31 of the Sale of Goods Act says that, ‘it is the duty of the seller to deliver the goods and of the buyer to accept and pay for them, in accordance with the terms of the contract.’
