A virtual deal room (VDR) is an electronic form of the due diligence file. With the availability of low-priced scanners, document-imaging software, and cloud servers, the traditional due diligence document file box has quickly been replaced by technology. Managing the due diligence documents electronically offers a tremendous advantage over the past “box” method. All of the documents need to be in a text searchable form.
