Private Interconnection Agreement

(Bilateral Peering Agreement)

This agreement (the “Agreement”) is made, effective as of “date 1” (the “Effective Date”), by and between NSP1, a Delaware Corporation with an office at “address 1”, and __________, a Corporation with an office at ______________________________________________. (“Company”). Each of NSP1 and Company is a “Party” to this Agreement, and collectively they are referred to as “Parties”.

WHEREAS, each of NSP1 and Company operates an Internet Network, as defined below; and

WHEREAS, the Parties wish to provide for the connection of, and exchange of traffic between, their respective Internet Networks on the terms and conditions of this Agreement.
