Regulating Executive Compensation

Recent years have seen growing public and shareholder attention to executive compensation and increased government regulation in response to these concerns. As a result, the people involved in structuring and administering stock-option plans and other forms of executive compensation—human resources managers, boards of directors, and/or compensation committees and their advisors—must take into account a rapidly changing and increasingly intricate set of laws and regulations to sustain organizational performance and maintain competitive advantage.
