When reviewing an NDA, whether it is a stand-alone agreement or spelled out in a contract’s terms and conditions, if an NDA is necessary, ensure that it contains the following five important elements:

1) The definition of confidential information: This defines what information the parties wish to protect without disclosing their secrets. This may be accomplished by listing the types of information each party wishes to retain as confidential, e.g., software code, financial data, innovative processes.
