Introductory Note
This is a sample software development agreement. This is a “long form” that is designed for substantial custom software development. It could also be used for major customization of the Developer's pre-existing application. This is a relatively balanced form, but some variations favor one party or the other.
This draft includes many provisions that commonly occur in these agreements, including some common variants and alternatives (but certainly does not have all possible variants).
