Occasionally, buyer will include payment language that does not comply with the FAR or alternate government agency regulations. For example, requesting that seller withhold 15 percent of the fee on each cost plus fixed fee (CPFF) invoice differs from the FAR, which requires that the withholding take place only once 85 percent of the total funded contract value is reached. “Buyer will withhold 15 percent of the fees charged on each invoice for cost type services performed” typifies language that does not comply with the FAR.
By agreeing to language that provides more rights to buyer than identified in the FAR, seller may be tying up money that could be used for other purposes.
