The first version of the UK Combined Code, issued in 1998, replaced, combined, and refined the earlier requirements of the Cadbury and Greenbury reports on corporate governance and directors’ remuneration. It came into force for all listed companies for year-ends after December 1998. Since then, UK corporate governance has been on a ‘comply or explain’ basis; in other words, listed companies are expected to comply but are not statutorily required to do so.
