So when I got on to O'Reilly, I was like a kid in a candy store. There are playlists. There are answers. There's on-demand training. It's worth its weight in gold, in terms of what it allows me to do.

与大家分享一个我的观察，先抛出个问题，并购案的估值建模者是财务人员，还是投行人员？提起并购，你可能会条件反射地想到“投行”这种专业机构，然而在大多数的并购案中，并购对价是由并购案双方提出后经谈判最终确定，而不是由投行提出再要求双方认可。换言之，并购案双方的负责人委托第三方标的公司/市场同类公司进行初步尽调后，结合股东期望建立估值模型并提出并购对价。其中投行担当的是协调和促进对接确认的角色，在整个并购过程中金融建模的主体是并购案的双方，从实务操作上前期涉及大量的工作，且时间紧、任务重，更多是标的公司的财务人员，其中估值建模是避不开的任务了。 ...
