Directors are not the same as owners

With many smaller companies (e.g. a husband and wife team) the owners of the shares are also the directors. However, the two roles are legally distinct. You can be a shareholder without being a director; and a director without being a shareholder.

Those companies with shares available for purchase on a stock exchange are usually run by a team of directors – rarely less than five individuals, often many more. The directors divide into two types. Both are (or should be) concerned with acting in the best interests of all the shareholders jointly, but the executive directors deal with the day-to-day running of the business.
