an obligation to negotiate in good faith.

But even in common law countries, the parties may have an
obligation to renegotiate an agreement in good faith at its end be-
cause of an express provision in the original contract, the prevail-
ing practices and customs of the business concerned, or the
conduct of the parties toward one another during the life of their
agreement. In contrast, parties seeking to negotiate a transaction
in first instance would have no such obligation and could abandon
negotiations at any time.
